Web Development Contract Terms 2009

 

First we have a discussion to get an idea of what needs to be included in your new site.

We figure out the approximate number of pages, forms, graphics and a general description of content.

When we really get things pinned down we'll be able to set up a description such as this: "Up to 7 pages, including one contact form and PHP script, and email links. Each page will have a dropdown menu, between 2 and 5 graphics, and up to 6 paragraphs of text to be provided by the Client."

At that point I have enough information to give you a bid on the project.

In working on a site, as the design develops, my policy is to allow a generous amount of leeway in the original terms (as long as the Client isn't trying to take advantage).


 

Cost and Contract Term
Developer and Client will agree on
• Starting date
• Projected completion date
• Total cost
Client remits 50 percent of cost as a retainer to start the project, with the remaining 50% due on completion and prior to file relinquishment, or activation of website.
Developer will submit a First Mockup Draft of web site no later than 21 days after Client agrees to have a website developed. Client to provide Developer with all the data needed to complete website, including text, company logo if any, and photos. Upon completion of the First Mockup Draft, the Client will be asked to confirm acceptance of the basic site design, whereupon the work necessary to complete the project will resume.

 

Browser Compatibility
Our agreement contemplates the creation of a web site viewable by Microsoft Internet Explorer, Firefox, Safari, Opera and other common contemporary browsers. Flash and Javascript may be used. Compatibility means all essential elements of each page are viewable if the consumer's browser has been kept current by downloading the necessary plug-ins.
Client is also aware that as new browsers are developed, the new versions may not be compatible. In the absence of a Maintenance Agreement, time spent to redesign a site for compatibility due to the introduction of a new browser will be separately negotiated.

 

Copyrights and Trademarks
Anything the client sends Developer to use, Client is legally allowed to use, and if not, Developer is not liable or legally responsible for using them in the designs.

 

Developer Credits
Developer will place a "credit icon" on each page (almost always at the very bottom, as on this page) which links to my business site, and Developer will have the right to showcase the site in my portfolio.

 

Ownership
Client will own the Website and source files for the purpose of display on the Internet. Any additional uses such as rendering as signage or printed materials will be negotiated as a separate transaction.

 

Website Changes
If the Client or an agent other than Developer attempts updating the Client's pages, any necessary repairs will be assessed at my standard hourly rate. Developer is not responsible for any changes made by anyone other than myself or my authorized agent.

 

Future Maintenance
Designer will be available to do site updates in the future at my standard hourly rate.

 

Free Maintenance
This agreement includes minor maintenance to web pages during a one-month period following placement of the site on the Internet, such as updating links and making changes to a sentence or paragraph. It does not including removing nearly all the text from a page and replacing it with new text. The one-month maintenance period commences when the Client accepts the website and pays the second 50% of the site cost, which will have triggered uploading and activation of the site.

 

Termination
Each phase of the project must be signed off before moving to the next phase.
When the Developer requests additional information or materials to continue or complete development of the website, Client will provide in a timely manner, and if appropriate response does not take place within 30 days the project shall be deemed Terminated and the remaining 50% of Total Cost shall become due.
